Terms and Conditions

These Terms and Conditions (“Terms”) govern access to and use of Crazy Vendor’s websites, mobile applications, software platform, APIs, integrations, extensions, and related services collectively referred to as the “Services.”

The Services are provided by Crazy Vendor LTD (“Crazy Vendor,” “we,” “us,” or “our”).

By accessing or using the Services, you agree to these Terms.

If you use Crazy Vendor on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

1. Services

Crazy Vendor provides software and technology for eCommerce and marketplace businesses.

Features may include:

  • Order management
  • Inventory management
  • Listing management
  • Warehouse operations
  • Shipping
  • Fulfillment
  • Customer communications
  • Financial reporting
  • Profitability analytics
  • Marketplace analytics
  • Reimbursement workflows
  • Marketplace opportunity analysis
  • Multi-channel fulfillment
  • Automation
  • AI-assisted business insights
  • Marketplace and eCommerce integrations

Available features may depend on the user’s subscription, marketplace, country, integration, account permissions, and third-party availability.

Crazy Vendor may add, remove, modify, or replace features where reasonably necessary.

2. Business Use and Eligibility

Crazy Vendor is primarily intended for business and commercial use.

You must have legal authority to enter these Terms.

If you connect an account belonging to another organization, you represent that you have authority to do so.

You are responsible for compliance with laws, marketplace policies, carrier rules, customs requirements, tax obligations, and other rules applicable to your business.

3. Accounts and Security

You must provide accurate information and maintain the security of your account.

You are responsible for:

  • Protecting login credentials
  • Using authorized user accounts
  • Managing employee access
  • Assigning appropriate permissions
  • Preventing unauthorized access
  • Promptly notifying Crazy Vendor of suspected compromise

You may not bypass authentication or security controls.

4. Third-Party Integrations

Crazy Vendor may integrate with marketplaces and services including Amazon, Walmart, eBay, Etsy, Shopify, WooCommerce, Google services, shipping carriers, payment providers, and fulfillment providers.

When you authorize an integration, you instruct Crazy Vendor to access and process information and perform authorized actions through that integration.

You remain subject to the terms and policies of the third-party service.

Third-party providers control their own:

  • APIs
  • Platforms
  • Availability
  • Rules
  • Policies
  • Rate limits
  • Approvals
  • Account decisions

Crazy Vendor cannot guarantee continued availability or functionality of a third-party integration.

5. Marketplace Authorization

You may connect only marketplace or third-party accounts that you are legally authorized to use.

You must use authorized authentication and authorization processes.

You may not provide Crazy Vendor with marketplace usernames, passwords, API credentials, or other credentials where the applicable platform prohibits such sharing.

You may not use Crazy Vendor to circumvent a marketplace’s access controls, API rules, authorization processes, policies, or technical limitations.

6. Amazon Services

Use of Crazy Vendor in connection with Amazon is subject to applicable Amazon policies and authorization requirements.

Crazy Vendor performs Amazon API activities only for Authorized Users who have authorized Crazy Vendor to perform those activities.

Users may not use Crazy Vendor to:

  • Violate an agreement with Amazon
  • Circumvent Amazon policies
  • Circumvent API access controls
  • Circumvent API throttling
  • Obtain Amazon Information they are not authorized to access
  • Obtain another seller’s non-public information
  • Market directly to Amazon customers using Amazon API information
  • Fabricate or manipulate reviews
  • Perform prohibited activities using Amazon Information

Crazy Vendor may suspend access to Amazon-related functionality if Crazy Vendor reasonably believes use of the Services violates applicable Amazon requirements.

Where required by applicable Amazon requirements, Crazy Vendor may notify Amazon of suspected prohibited activity.

7. Customer Data

You retain ownership of information and content you provide to Crazy Vendor.

You authorize Crazy Vendor to access, process, store, transmit, reproduce, and otherwise handle Customer Data only as reasonably necessary to:

  • Provide the Services
  • Perform requested integrations
  • Provide support
  • Maintain security
  • Maintain system reliability
  • Comply with applicable laws
  • Comply with applicable platform obligations
  • Exercise rights under these Terms

You represent that you have the rights, authority, notices, permissions, and legal bases necessary for information you provide to Crazy Vendor.

8. Privacy

Personal information is processed according to the Crazy Vendor Privacy Policy.

Platform-specific information may also be subject to requirements imposed by the platform from which that information originated.

9. AI and Automated Features

Crazy Vendor may provide AI-assisted features, automated analysis, recommendations, classifications, alerts, summaries, forecasts, or business insights.

These features are intended as decision-support tools.

Results may depend on:

  • Data supplied by the customer
  • Marketplace data
  • Third-party data
  • Data availability
  • Data freshness
  • Model assumptions
  • Automated calculations

Outputs may contain errors or may not reflect recent events.

You are responsible for reviewing material outputs before taking business action.

Crazy Vendor does not guarantee that AI-generated or automated recommendations will increase sales, profits, marketplace ranking, reimbursements, or any other business outcome.

Crazy Vendor does not provide legal, accounting, tax, customs, investment, or financial advice.

Amazon Information is not aggregated across sellers to provide or sell cross-seller Amazon insights, and Amazon Customer PII is not used for generalized AI model training.

10. Marketplace Actions

Crazy Vendor may allow users to initiate actions such as:

  • Creating listings
  • Updating listings
  • Updating inventory
  • Processing orders
  • Creating shipments
  • Sending marketplace communications
  • Creating fulfillment requests
  • Creating drafts
  • Performing bulk operations

You are responsible for reviewing information and instructions before submitting material actions.

Third-party platforms make the final decision regarding whether a listing, claim, shipment, reimbursement request, or other submission is accepted.

11. Reimbursements and Recovery

Crazy Vendor may identify potential reimbursement or recovery opportunities.

Identification of an opportunity does not guarantee eligibility, approval, recovery, or payment.

Final decisions are made by the applicable marketplace or other responsible third party.

Customers remain responsible for the accuracy and legitimacy of information submitted in connection with claims or cases.

12. Shipping and Fulfillment

Crazy Vendor may provide access to shipping, fulfillment, carrier, and warehouse functionality.

Unless expressly agreed otherwise, Crazy Vendor acts as a technology provider and not as:

  • The carrier
  • The customs authority
  • The importer
  • The exporter
  • The manufacturer
  • The owner of the goods

The shipper is responsible for shipment contents and for providing accurate:

  • Weight
  • Dimensions
  • Product descriptions
  • Values
  • Customs declarations
  • HS codes
  • Recipient details
  • Export information
  • Import information
  • Regulatory information

You are responsible for complying with carrier, customs, import, export, and product restrictions.

13. Carrier Charges, Duties, and Adjustments

Shipping charges displayed before shipment may be estimates or initial carrier charges.

Carriers or authorities may later assess:

  • Weight adjustments
  • Dimensional weight adjustments
  • Address correction charges
  • Remote area charges
  • Customs duties
  • VAT
  • Taxes
  • Brokerage
  • Storage
  • Clearance fees
  • Regulatory charges
  • Other carrier adjustments

The customer is responsible for valid charges associated with shipments processed through the customer’s Crazy Vendor account.

Where Crazy Vendor later receives an applicable carrier or third-party credit, Crazy Vendor may apply the corresponding customer credit after the credit has been confirmed.

14. Subscription and Billing

Certain Services require a paid subscription.

Prices, plan limits, billing periods, and included functionality are communicated during purchase or through the customer’s account.

Subscriptions may renew automatically where disclosed at purchase and permitted by applicable law.

You authorize Crazy Vendor and its payment providers to collect applicable:

  • Subscription charges
  • Usage charges
  • Shipping charges
  • Taxes
  • Third-party charges
  • Other authorized account charges

Crazy Vendor may change future pricing with appropriate notice where required.

15. App Store and Google Play Purchases

Where a subscription or other purchase is processed through Apple, Google, or another application marketplace, that transaction may also be subject to the applicable platform’s payment, renewal, cancellation, and refund rules.

Nothing in these Terms overrides mandatory consumer rights or mandatory application marketplace requirements.

16. Cancellation and Refunds

Customers may cancel subscriptions through available account functionality or applicable purchase provider processes.

Unless otherwise stated at purchase or required by law, cancellation prevents future renewal but does not automatically create a right to a refund for already-consumed subscription periods or services.

Promotional refund guarantees are governed by the terms presented with the applicable promotion.

Third-party charges such as shipping, duties, carrier fees, marketplace costs, and consumed services may not be refundable unless the applicable third party issues a corresponding refund or credit.

17. Acceptable Use

You may not use Crazy Vendor to:

  • Violate applicable law
  • Commit fraud
  • Infringe intellectual property
  • Access information without authorization
  • Circumvent marketplace policies
  • Circumvent technical restrictions
  • Interfere with system security
  • Introduce malware or malicious code
  • Scrape or access systems through unauthorized methods
  • Reverse engineer the Services except where legally permitted
  • Resell access without written authorization
  • Misrepresent identity or authority
  • Process unlawful transactions
  • Abuse marketplace communications
  • Violate third-party platform agreements

Crazy Vendor may investigate suspected abuse and restrict access where reasonably necessary.

18. Intellectual Property

Crazy Vendor retains all rights in its:

  • Software
  • Applications
  • APIs
  • Interfaces
  • Designs
  • Technology
  • Databases
  • Documentation
  • Brands
  • Trademarks
  • Proprietary methods
  • Features
  • Improvements

Subject to these Terms and applicable payment obligations, Crazy Vendor grants customers a limited, non-exclusive, non-transferable right to use the Services for authorized internal business purposes.

19. Confidentiality

Each party may receive non-public commercial, technical, financial, operational, or business information belonging to the other party.

The receiving party will use reasonable safeguards to protect confidential information and use it only for purposes related to the Services or as otherwise legally permitted.

This obligation does not apply to information that:

  • Is lawfully public
  • Was already lawfully known
  • Is independently developed
  • Is lawfully obtained from another source
  • Must be disclosed by law

20. Security

Crazy Vendor maintains technical and organizational security controls designed to protect information processed through the Services.

Customers remain responsible for securing their own:

  • Devices
  • User accounts
  • Credentials
  • Networks
  • Personnel
  • Connected marketplace accounts

Users must promptly report suspected unauthorized access or misuse.

21. Availability

Crazy Vendor uses reasonable efforts to provide reliable Services.

However, interruptions may occur due to:

  • Maintenance
  • Internet failures
  • Cloud infrastructure failures
  • Security events
  • Marketplace outages
  • API changes
  • Carrier outages
  • Government action
  • Third-party service disruption
  • Events outside Crazy Vendor’s reasonable control

Crazy Vendor does not guarantee continuous operation of third-party integrations.

22. Suspension and Termination

Crazy Vendor may suspend or terminate access where reasonably necessary, including where:

  • Fees remain unpaid
  • These Terms are violated
  • Use creates a security risk
  • Use may violate law
  • Use may violate marketplace requirements
  • A third-party platform requires suspension
  • Continued access could expose Crazy Vendor or others to liability or material harm

Customers may terminate their account according to the available cancellation or deletion process.

Information following termination is handled according to the Privacy Policy and applicable legal and platform requirements.

23. Disclaimer of Warranties

To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis.

Crazy Vendor does not guarantee:

  • Error-free operation
  • Uninterrupted availability
  • Accuracy of all third-party data
  • Acceptance of marketplace actions
  • Approval of reimbursement claims
  • Specific sales performance
  • Specific profitability
  • Marketplace ranking
  • Final carrier charges
  • Continued availability of an API or third-party integration

24. Limitation of Liability

To the maximum extent permitted by applicable law, Crazy Vendor will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including loss of profits, revenue, goodwill, anticipated savings, business opportunities, or data.

Crazy Vendor is not responsible for decisions or actions made independently by:

  • Marketplaces
  • Carriers
  • Customs authorities
  • Payment processors
  • Fulfillment providers
  • Government agencies
  • Other third parties

To the maximum extent permitted by applicable law, Crazy Vendor’s aggregate liability arising from the Services will not exceed the amounts actually paid by the customer to Crazy Vendor for the affected Services during the six months preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot legally be excluded or limited.

25. Indemnification

To the extent permitted by law, customers agree to indemnify and hold harmless Crazy Vendor and its directors, officers, employees, contractors, and affiliates from claims, losses, liabilities, and reasonable expenses arising from:

  • The customer’s unlawful use of the Services
  • Customer Data
  • Violation of these Terms
  • Violation of third-party rights
  • Marketplace activity
  • Shipping activity
  • Customs activity
  • Violation of marketplace, carrier, or regulatory requirements

26. Changes

Crazy Vendor may update these Terms where necessary to reflect changes to:

  • Services
  • Business operations
  • Technology
  • Legal requirements
  • Security requirements
  • Marketplace policies
  • Third-party platform requirements

Where required, Crazy Vendor will provide appropriate notice of material changes.

27. Assignment

Customers may not assign these Terms without Crazy Vendor’s prior written consent.

Crazy Vendor may assign these Terms in connection with a merger, acquisition, restructuring, financing, or sale of substantially all relevant business assets.

28. Severability

If a provision is determined to be invalid or unenforceable, the remaining provisions remain effective.

29. Governing Law

These Terms are governed by the laws of the State of Israel, excluding conflict of law rules.

To the extent permitted by applicable law, disputes will be subject to the competent courts of Israel.

Mandatory rights available under applicable law remain unaffected.

30. Entire Agreement

These Terms, together with the Privacy Policy, applicable plan terms, order forms, and separately signed agreements, constitute the agreement governing the Services.

If a separately signed agreement expressly conflicts with these Terms, the signed agreement controls to the extent of the conflict.
